In no event shall our aggregate liability for all claims relating to the Service exceed the amount you paid us for the Service in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

The limitations of liability set forth in this section shall apply even if we have been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy.

Indemnification

You agree to defend, indemnify, and hold harmless Sopos Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, your violation of these Terms, or your infringement of any third party right, including without limitation any copyright, property, or privacy right.

This indemnification obligation will survive the termination of your account and these Terms. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in asserting any available defenses.

Termination

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service will cease immediately. We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, we will make reasonable efforts to provide you with access to your data for a limited period, typically 30 days, after which your data may be permanently deleted from our systems. You are responsible for exporting any data you wish to retain before termination.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be interpreted and governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in San Francisco, California, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc.

The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms shall be joined to an arbitration involving any other party subject to these Terms, whether through class arbitration proceedings or otherwise.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect our intellectual property rights in any court of competent jurisdiction.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service and should discontinue use immediately.
